An internal memo by Twitter\u2019s general counsel and obtained by The Verge <\/em>says that staffers should \u201crefrain from Tweeting, Slacking, or sharing any commentary about the merger agreement.\u201d<\/p>\n The note, which you can read in full below, cites the fact that the merger is an ongoing legal matter. Musk\u2019s team alleges that the company \u201cfailed or refused to provide\u201d information about the number of bots on its platform,\u201d and Twitter\u2019s board has announced that it\u2019s suing Musk<\/a> to ensure that the deal goes through as originally agreed. <\/p>\n After the news broke Friday that Musk wanted out of the deal, Twitter employees quickly made some pretty humorous tweets about the situation. One tweeted they had \u201cunilaterally cancelled my mortgage\u201d and were happy they didn\u2019t have to pay it anymore, referring to the fact that it\u2019s very unclear whether Musk can legally just say \u201cnah\u201d and walk away. Another tweet referred to a staff trip to Disney that was canceled as a cost-cutting measure<\/a> after the Musk deal was announced.<\/p>\n Here\u2019s the memo sent that Sean Edgett, Twitter\u2019s general counsel, sent to staff on Friday:<\/p>\n Team,<\/p>\n Today we received a notice of purported termination from Elon Musk, and the Twitter Board issued the following statement in response (see our Chairman Bret Taylor\u2019s Tweet here):<\/p>\n \u201cThe Twitter Board is committed to closing the transaction on the price and terms agreed upon with Mr. Musk and plans to pursue legal action to enforce the merger agreement. We are confident we will prevail in the Delaware Court of Chancery.\u201d<\/p>\n Given that this is an ongoing legal matter, you should refrain from Tweeting, Slacking, or sharing any commentary about the merger agreement.
